AREA BY-LAWS AND CONSTITUTION
The Arkansas Rural ED Association is a statewide organization that is affiliated with the National Rural Education Association. AREA promotes quality experiences and opportunities for all of Arkansas' students to enable them to compete in a diverse global community.
The Arkansas Rural ED Association is dedicated to improving instruction and promoting quality education for all students throughout the state. It provides a unified voice for representing rural school districts to legislative bodies and public officials.
The Arkansas Rural ED Association supports the integrity of rural school districts and honors the committed educators who are dedicated to the outstanding young minds of the great state of Arkansas.
Article I - Name
The name of this Association shall be the Arkansas Rural ED Association. Within the body of this Constitution, the Association shall be referred to as the AREA.
Article II - Duration
The period of its duration is perpetual.
Article III - Purposes
The purpose of the AREA shall be:
1. To provide support and resources to rural schools to enable them to provide a
quality and efficient education to students;
2. To improve the educational standards in all schools in the State of Arkansas, but
especially those issues relating to rural schools and students;
3. To promote the welfare and the professional growth of the members of the
4. To establish and maintain a liaison between other professional organizations with
5. To develop a favorable relationship with the public and the elected officials of the
State of Arkansas;
6. To provide a means for the membership to have a collective influence on the
establishment and execution of rural educational policies within Arkansas; and
7. To keep the membership informed of state and national events and activities that would promote or adversely affect education in Arkansas.
Article IV - Composition
The AREA shall be a professional organization composed of all member school districts, educational cooperatives, colleges and universities, organizations, associations, businesses/corporations, and individuals. It shall be governed by a Board of Directors composed of the officers, one representative from each educational cooperative, the immediate past-president, AND THREE AT-LARGE MEMBERS APPOINTED BY THE AREA BOARD.
Article V - Associational Affiliation
The AREA Board of Directors shall have the sole authority to accept or reject organizations that may apply for affiliation with the AREA.
Article VI - Dissolution/Disposition of Assets
Whenever, for any reason, the AREA is dissolved or is no longer able to accomplish and carry out the specific purposes for which the AREA was formed, the Board of Directors shall terminate the affairs of the AREA, pay its debts, and after this has been done, any and all of the remaining assets shall be assigned and conveyed, without consideration, to the establishment of a Rural Education Scholarship Trust Fund for the purpose of providing scholarships to students under the rules and regulations as shall be developed by the AREA Board of Directors. This will continue the educational purpose to which the AREA is dedicated.
Article VII - Members
Membership in AREA shall consist of school districts, educational cooperatives, individuals, corporations, businesses, colleges, universities, and approved organizations or associations.
District/Educational Cooperative Membership. School Districts and Educational Cooperatives are eligible for this membership. The superintendent or co-op director will be the representative unless that person appoints another person within their school district or co-op. A school district or educational co-operative shall have one vote at business meetings or other times that a vote is required. The superintendent or co-op director shall have the right to hold office.
Corporate Membership. Corporate membership shall be open to businesses wishing to reach and influence the educational marketplace in Arkansas and willing to partner with AREA. Businesses or members holding corporate membership will not be eligible to vote or hold office.
Colleges and Universities Membership. College and University membership shall be open to any college or university wishing to be involved with AREA. College and University memberships will remain at the same rate as school districts or cooperatives. The college or university will be responsible for designating the AREA representative. College and University membership does not hold voting rights or the right to hold office; however, their advisory role will be included in AREA discussions.
Organization/Association Membership. Organization and Association membership shall be open to any approved organization or association affiliated with education wishing to be involved with AREA. Organization and Association memberships will remain at the same rate as school districts or cooperatives. The organization or association will be responsible for designating an AREA representative. Organization and Association membership does not hold voting rights or the right to hold office; however, their advisory role will be included in AREA discussions.
Article VIII - Officers of the Association
Officers. The officers of the AREA shall consist of the president, vice-president, secretary, and past-president. Officers shall serve a two year rotating term beginning in the summer conference and serving until the summer conference two years later. Officers will rotate from secretary, to vice-president, to president, and finally to past-president. Arkansas Superintendents and co-op directors of member districts will be eligible for an officer position.
President. The term of president shall be for two years. The President will begin his/her term by presiding on the second day of the AREA summer conference. The president will succeed to the office of past-president following two years of service.
Vice-president. The term of the vice-president shall be for two years. The vice-president shall succeed to the office of president and then to past-president following two years of service in each position. The vice-president’s term will begin on the second day of the AREA summer conference.
Secretary. The term of secretary shall be for two years. The secretary shall succeed to the office vice-president, president, and past-president through a two year rotation for each position. The secretary position shall be elected by the membership of AREA at the summer conference and begin serving after the election. Nominations for the secretary election may be obtained through email or verbal nomination by an AREA member, the Board of Directors, or the Executive Director. If an election for any office has three or more candidates running for a particular office and a majority is not obtained by one candidate, a run-off election must be held between the top two candidates. Arkansas Superintendents and co-op directors of member districts will be eligible for the office.
Vacancies for Unexpired Terms. Officer vacancies shall be filled by following these steps:
Past-President. The term of immediate past-president shall be for two years. The past-president will serve on the AREA Board of Directors and will also serve on the executive committee.
Article IX - Board of Directors
Membership. Membership of the Board of Directors of the AREA shall consist of the four officers (President, Vice-President, Secretary, and Past-President), one representative from each of the 15 educational cooperatives from around the state, AND THREE AT-LARGE MEMBERS. Each of the educational cooperatives will have the authority to decide how to choose the representative from that cooperative. THE AREA BOARD WILL APPOINT THE AT-LARGE MEMBERS.
Membership Terms. Board Member FROM THE EDUCATION COOPERATIVES shall serve as a member of the board for a three year term as decided by the educational cooperative on even numbered years. A maximum of SIX seats may expire each term. THE AT-LARGE MEMBERS WILL SERVE THREE YEAR ROTATING TERMS.
Article X - Committees
The need for the establishment of committees to work for the organization shall be determined by the AREA Board of Directors or the Executive Director.
The composition, duties, and responsibilities of each committee shall be established by the AREA Board of Directors upon the creation of the committee.
Article XI - Funds
The Board of Directors of AREA shall have the authority to recommend an annual operating budget to the entire membership at the summer business meeting and to expend funds accrued to AREA.
Article XII - Staff
The Board of Directors of AREA shall have the authority to employ staff, to set salaries, and to discharge staff.
Article XIII - Authority, Duties, and Responsibilities
Except for the authority, duties, and responsibilities listed in this Constitution, all other authority, duties, and responsibilities of the organization and the officers thereof shall be set forth in the Bylaws. The Board of Directors shall have the authority to act on all matters that are not prohibited by the Constitution.
Article XIV - Corporation
The Board of Directors shall have the authority to incorporate this Association as a nonprofit organization under the statutes of the state of Arkansas.
Article XV - Ratification
The Constitution shall become effective when it has been ratified by a majority vote of the voting membership at the general election or at a special called election.
Article XVI - Rules of Order
Roberts' Rules of Order, Revised, shall guide in all business meetings of this Association.
Article XVII - Amendments
Proposed amendments shall be submitted in writing OR ELECTRONICALLY, to the Board of Directors of AREA at least sixty (60) days prior to the state Association meeting in which the vote is to be taken. Amendments shall be submitted to the Individual Membership by mail OR ELECTRONICALLY at least thirty (30) days before being presented. The Board of Directors may submit the proposed amendment to the membership at an association meeting.
A two-thirds majority vote of the voting members present at any annual meeting or special meeting of the Association shall be required to amend the Constitution.
Article I - Board of Directors' Duties and Responsibilities
The Board of Directors of AREA shall have the authority to:
1. Make rules and assign responsibilities to all special committees;
2. Develop ways and means of cooperation between professional associations whose aims
are not in conflict with the purposes of this association;
3. Secure benefits such as group insurance, liability insurance, and membership privileges
with individuals and corporations for the membership of AREA;
4. Make an annual report of the activities of the Association , this report will cover a fiscal
year, July 1 through June 30 and will be presented at the annual summer conference;
5. Collect membership dues;
6. Expend funds of the Association;
7. Make and revise the annual budget;
8. Employ and discharge staff. The position of the Executive Director shall be considered
in the January meeting.
9. Set staff salaries.
10. Schedule meetings of the Association;
11. Carry out and enforce the rules governing membership in the Association;
12. Make all necessary rules and regulations to carry out the purpose of the Association.
13. Authorize an associational newsletter or magazine in order to keep all members
14. Provide services such as publications, conferences, research, individual counseling, and
other services that are not in conflict with the purposes of this Association; and
15. Employ legislative consultants
AREA Board Meeting Policy. The AREA governing board shall meet quarterly on dates that are established by the board at the first meeting held after July 1 of each year. The President or Executive Director of AREA shall have the responsibility of calling a special board meeting in addition to regular meetings, when circumstances dictate the need for the board to meet.
Article II - Officers' Duties and Responsibilities
President. These are the duties and responsibilities of the President of AREA:
Preside, or arrange for a presiding officer, at all meetings of the Board of Directors and special committees;
Vice-President. These shall be the duties and responsibilities of the Vice-President of AREA:
1. Act as presiding officer of the Board of Directors in the absence of the president.
2. Serve as ex-officio member of all committees;
3. Keep the Board of Directors informed of activities of the committees; and
4. Complete the term as president of the association in the event that the office of president becomes vacant.
Secretary. These shall be the duties of the Secretary of AREA:
1. Keep a complete and accurate record of the proceedings of all meetings of the
Board of Directors;
2. Provide a copy of minutes to all members of the Board of Directors;
3. Keep an accurate list of all members of the Association; and
4. Serve as chair of the Scholarship Committee.
Past President. These shall be the duties of the Past-President of AREA:
1.Serve on the AREA Board of Directors;
2.Serve on the executive committee; and
3.Lead the review of the constitution and by-laws at least every two years.
Article III - Amendments
These Bylaws may be amended by a two-thirds vote of the voting membership present at the annual or at a special meeting. Proposed amendments to the Bylaws shall be submitted in writing to the Board of Directors sixty (60) days prior to the state Association meeting in which the vote is to be taken. Members of the Association must receive the proposed amendments at least thirty (30) days prior to the date that it is presented. Upon the approval of the Board of Directors, proposed amendments to the Bylaws may be submitted to the membership by email.
Article IV - Membership Dues
The annual membership fee for each type of membership shall be recommended each year by the board of directors and voted on by the entire membership at the business meeting at the summer conference. Membership shall be from July 1 of the current year to June 30 of the following year.

Article VI – Removal of Board Members from Offic
Board members are removed from office when they miss more than two consecutive meetings without a reasonable excuse presented to the Executive Director (illness, unavoidable district responsibilities, etc.).
